Terms of sale and use
These terms cover the Locke application and any paid plan you buy from us. Locke Basic is free and needs no account, so most of what follows applies only once you sign in or buy something.

Who you are agreeing with
Locke is provided by Keyholdr Inc., 868 Lorimer St, Suite 5C, Brooklyn, NY 11222, United States ("we", "us"). You can reach us at support@asklocke.com. By installing Locke or buying a plan you agree to these terms. If you do not agree, do not install or buy.
Locke Basic
Basic is free, ad-free, and requires no account. It answers on your Mac using the model bundled with the application. We grant you a personal, non-exclusive licence to install and use it on Macs you own or control. You may not resell it, or remove or obscure its notices.
Basic is provided as-is. We may change or discontinue it, though we will not remotely disable a copy already installed on your Mac.
Accounts
Buying a plan requires a Locke account, which is created and accessed by verifying an email address. You are responsible for keeping access to that mailbox — anyone who can read it can sign in as you. Tell us promptly if you believe your account has been used without your permission.
You must be old enough to form a binding contract where you live. Accounts are for individuals; we do not offer organisation or team accounts.
What each plan includes
Locke Plus is a one-time purchase of $9.99. It adds the ability to download and update Locke's knowledge corpus, including future corpus releases. Answering stays on your Mac. Plus does not include cloud models or web access.
Locke Max is a subscription of $4.99 per month or $49.99 per year. It adds cloud models and web answers, and includes corpus download and update access while the subscription is active. Cloud and web features need a network connection and are always optional — you can choose On My Mac at any time.
Prices are shown in US dollars and exclude tax unless stated. Tax is calculated at checkout based on your location.
Devices
A paid plan may be active on up to three personal Macs per account. You can see and deactivate your devices in the app. Deactivating a Mac stops new downloads, updates, and cloud requests from it; it does not delete or disable a corpus already installed there.
Billing and renewal
Payments are processed by Stripe. We do not receive or store your full card details. Max renews automatically at the end of each billing period until you cancel. You can cancel at any time from the billing portal; cancellation takes effect at the end of the period you have already paid for.
If a renewal payment fails we may retry it and keep Max active for a short grace period while we do. If payment still fails, Max features stop.
We may change prices. A change never affects a period you have already paid for, and we will tell you before a renewal at a new price.
Refunds and withdrawal
You may cancel a purchase within 14 days for a full refund, no reason required. Full details, including what a refund does to your access, are on the refunds page. Nothing here removes rights you have under the consumer law of the country you live in.
When paid access ends
If Max lapses, cloud models, web answers, and corpus updates stop. If Plus is refunded or charged back, future corpus downloads and updates stop. In every case, Basic keeps working and a corpus already installed on your Mac stays installed and usable. We do not remotely delete data you have downloaded.
Answers are not advice
Locke generates text with a language model. It can be confidently wrong, out of date, or incomplete, and this is true of local, cloud, and web-assisted answers alike. Do not rely on Locke for medical, legal, financial, or safety-critical decisions. Check anything that matters.
Corpus content comes from third-party sources under their own licences and carries their own errors and biases. See the corpus page for sources and attribution.
Acceptable use
You agree not to:
- share, resell, or redistribute paid downloads or your account access;
- work around device limits, entitlement checks, or usage limits, or use automated means to generate load;
- use cloud or web features to produce unlawful material, to harass or harm others, or to attempt to extract our providers' underlying models;
- probe, scan, or disrupt our services or those of our providers.
We may suspend cloud and web access for abuse. Suspension for abuse is separate from billing: we will tell you what happened and, where the suspension is our error, restore access.
Fair use of cloud features
Max includes generous but finite cloud and web usage, sized so that normal personal use is never interrupted. We apply limits to prevent abuse and runaway cost. If you reach a limit, local answering continues to work unaffected. We are not selling unlimited inference and do not describe it as such.
Your content
Your prompts, conversations, documents, and images are yours. We claim no ownership of them and do not use them to train models. What leaves your Mac, and when, is described on the privacy page and recorded in the app's disclosure receipts.
Availability
Paid online features depend on our service and on third-party providers, and may be unavailable or interrupted. Basic answering does not depend on our service and keeps working when it is down.
Ending the agreement
You may stop using Locke or delete your account at any time. Deleting your account ends your ability to restore Plus or download corpus releases later, which is explained again at the point of deletion. We may suspend or close an account for a serious or repeated breach of these terms, or where we are required to by law, and will refund any unused prepaid subscription period unless the closure follows fraud.
Liability
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Subject to that, and to your rights as a consumer, our total liability to you for any claim connected with Locke is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect or consequential loss, or for loss arising from your reliance on a generated answer.
Governing law
These terms are governed by the laws of the State of Delaware and the federal laws of the United States, and disputes will be heard by the courts of Delaware. If you are a consumer resident elsewhere, you keep the protection of the mandatory laws of your country of residence and may bring proceedings there.
Changes
We may update these terms. For changes that materially affect a paid plan we will give notice before they take effect, and they will not apply retroactively to a period you have already paid for. The date at the top of this page shows the current version.
